1. Who you are contracting with
GrantsOS ("GrantsOS", "the Service") is operated by Universal Softwares ("we", "us", "our"). By creating an account or using the Service you enter into an agreement with Universal Softwares. If you use GrantsOS on behalf of an organization, you confirm you have authority to bind that organization; if you use it as an individual, you confirm you are of legal age in your jurisdiction.
2. Acceptance of these terms
By registering for, accessing, or continuing to use GrantsOS you agree to these Terms. If you do not agree, do not use the Service. We may update these Terms; material changes will be communicated in the product or by email, and continued use after a change constitutes acceptance.
3. What GrantsOS provides
GrantsOS is a cloud platform for measuring grant readiness and managing funding operations: the Grant Readiness Index, funding intelligence, a grant pipeline, a narrative vault, program and document management, compliance and stewardship tooling, the AI Grant Steward, and the GrantsOS Academy. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan or courses you have selected.
4. Your account
You must provide accurate registration information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account and workspace. Notify us promptly of any suspected unauthorized access.
5. Acceptable use
You must not:
- use the Service for any unlawful purpose, or in violation of grantor or funder rules;
- commit fraud, submit deliberately false information to funders, or send spam;
- infringe the intellectual property or privacy rights of any person;
- interfere with the security or integrity of the Service, including introducing malware, probing or scanning systems, bypassing access controls, or scraping data;
- reverse engineer, resell, sublicense, or redistribute the Service or its outputs as a competing product;
- circumvent technical, usage, or seat limits.
6. Your content
You retain ownership of the organizational data, narratives, budgets, and documents you upload ("Your Content"). You grant us a limited licence to host, process, and display Your Content solely to operate and improve the Service for you. You are responsible for having the rights necessary to upload Your Content and for the accuracy of anything you submit to a funder.
7. AI features, accuracy, and human approval
GrantsOS includes AI features that research funders, score opportunities, draft narrative language, review proposals, and produce briefings. These outputs may be incomplete, outdated, or inaccurate. They are decision support, not professional, legal, financial, or tax advice, and must be reviewed by a qualified human before use.
- GrantsOS never submits an application, signs a document, sends external communications on your behalf, or changes organizational facts without your explicit approval.
- You are responsible for your prompts, for verifying AI outputs, for having rights to content you input, and for how you use outputs.
- You must not use AI features to produce illegal content, misrepresentations to funders, hate speech, malware, deepfakes, or to attempt to jailbreak model safeguards.
- We may filter, restrict, or refuse outputs, remove content, and suspend accounts to enforce these rules. Rights holders may report suspected infringing content to us using the contact details below; we will investigate, remove content where appropriate, and may terminate accounts for repeated infringement.
8. Intellectual property
We retain all right, title, and interest in the Service, including its software, models, methodologies (including the Grant Readiness Index and certification frameworks), documentation, course content, and branding. No rights are granted except those expressly stated in these Terms.
9. Payment and subscription terms
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Payment, billing, currency, applicable taxes, renewals, cancellations, and refund mechanics are governed by Paddle's Checkout Buyer Terms. Prices for the workspace and for Academy courses are published on our pricing page, and our own refund commitment is described in our Refund Policy.
10. Service level
We work to keep GrantsOS available and reliable, but we do not guarantee uninterrupted or error-free operation. Maintenance, third-party outages, and factors outside our control may affect availability. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
11. Suspension and termination
We may suspend or terminate access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service and close your workspace at any time. On termination your licence ends; you will have a reasonable window to export Your Content, after which it may be deleted or anonymised in line with our Privacy Notice.
12. Liability
To the extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid to us in the twelve months preceding the claim. We exclude liability for indirect, consequential, or special damages, including lost profits, lost funding or grant awards, lost data, and loss of goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion is prohibited by law.
13. Indemnity
You will indemnify us against third-party claims arising from Your Content, your unlawful or infringing use of the Service, or your breach of these Terms.
14. General
You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. These Terms are governed by the laws of the jurisdiction in which Universal Softwares is established, and the courts of that jurisdiction have exclusive jurisdiction over disputes, without prejudice to any mandatory consumer protections available to you locally.
